This is a great opportunity for someone who wants to build their company secretarial career in a listed, multinational asset manager with exposure to a wide range of governance matters. In this role, you will be supporting market announcements, statutory filings, Board and Committee processes, share buyback administration, PDMR notifications and wider governance projects. You will work closely with colleagues across the Secretariat function, Group Legal and the wider business, as well as external advisers, gaining practical experience of listed company requirements and the day-to-day operation of an in-house Secretariat function.
Summary of our opportunity
ICG is seeking an energetic and detail-oriented team player to take on the role of Company Secretary Analyst. You will support company secretarial and corporate governance matters across the ICG Group, with a predominant focus on listed company, subsidiary governance and day-to-day CoSec activities. The role sits within the in-house Group Legal team in ICG’s London head office and offers broad exposure to senior stakeholders, regulatory processes and governance projects.
Primary responsibilities for this role include (but are not limited to):
Company Secretarial Support:
- Supporting the ICG Group with various CoSec administrative tasks, including Director appointments, drafting of announcements to the market, acting as a general point of contact for miscellaneous CoSec questions.
- Managing the day-to-day administration of share buyback programmes, preparing regulatory announcements, ensuring HMRC payments have been made, and maintaining accurate records for compliance purposes.
- Preparing and submitting PDMR notifications to the FCA in accordance with the Market Abuse Regulation, including tracking notification deadlines and ensuring timely and accurate filings.
- Drafting Regulatory News Service (RNS) announcements covering corporate events, results announcements, Director changes, and other price-sensitive information, and liaising with internal stakeholders and external advisers to ensure accuracy and regulatory compliance.
- Maintaining statutory registers, including coordinating timely Companies House filings and supporting the accuracy of internal systems.
- Assisting with corporate documentation, including powers of attorney, and materials required for routine corporate actions.
Stakeholder Engagement and Administration:
- Working closely with other teams within the business and third-party administrators and regulators on CoSec and corporate governance matters.
- Managing the day-to-day administration of Know Your Client (“KYC”) processes.
- Supporting Board and Committee processes, including drafting of agendas, action logs, meeting packs.
- Supporting governance projects, including annual reporting inputs, AGM organisation, regulatory reporting and process improvements across the Secretariat function.
- Managing purchase orders and invoice payments for the Secretariat function.
- Coordinate document execution processes.
Key Requirements or Qualifications
You will have demonstrable experience of:
Essential
- Experience of working within a company secretarial team.
- Familiarity with UK Listing Rules.
- Strong understanding of Companies Act requirements, statutory filings, statutory registers and governance record keeping.
- Experience preparing or supporting Board and Committee processes, including drafting agendas, board packs and action logs.
- Excellent written communication skills and attention to detail, with the ability to manage deadlines and handle confidential information appropriately.
Desirable
- Legal or CoSec qualification or partial qualification.
- Experience of an international group and working closely with colleagues and external stakeholders in different jurisdictions and time zones.
- Experience with KYC administration.
- Experience using board portal systems, such as Diligent and AdminControl.
