Key Responsibilities
- Handle corporate compliances and regulatory filings under the Companies Act, 2013 and LLP Act.
- Ensure compliance with IFSCA Regulations and the GIFT SEZ regulatory framework for client entities.
- Support the setup and ongoing compliance of Alternative Investment Funds (AIFs) in India, coordinating with SEBI and other regulatory authorities.
- Liaise with clients for incorporation and establishment of entities within GIFT SEZ under applicable IFSCA regulations.
- Coordinate with regulators, government authorities, and external vendors as required.
- Manage annual compliance requirements and statutory meetings for client companies.
- Attend Board Meetings, prepare detailed meeting notes, and draft agendas, board resolutions, and minutes within prescribed timelines.
- Maintain and update statutory records, registers, returns, licenses, and registrations, including FIU, LEI, IEC, RCMC, insurance policies, and other regulatory documents.
- Prepare, file, and track applications, forms, and supporting documentation with various regulatory authorities.
- Maintain internal and client compliance trackers while ensuring accuracy, confidentiality, and data integrity.
- Provide administrative, compliance, and regulatory support to the Client Services and Company Secretarial teams.
Required Skills
- Strong drafting skills with the ability to prepare agendas, resolutions, minutes, reports, agreements, and other corporate documents.
- Good understanding of corporate laws, governance, and regulatory compliance frameworks.
- Ability to quickly learn and interpret new regulations and compliance requirements applicable to GIFT SEZ entities.
- Strong work ethic with a proactive and solution-oriented approach.
- Excellent time management, multitasking, and prioritization skills.
- Ability to work effectively under pressure and manage multiple deadlines.
- Strong verbal and written communication skills.
- Excellent analytical, organizational, and problem-solving abilities.
- Collaborative team player with the ability to work independently in a dynamic environment.
- Proficiency in MS Office Suite, including Outlook, Word, Excel, and PowerPoint.
Qualifications
- Qualified Company Secretary (CS) – Mandatory.
- LLB or LLM qualification will be an added advantage.
