M&A Analyst
Overview
We are seeking a highly analytical, detail-oriented M&A Analyst to join our Mergers & Acquisitions team, with primary responsibility for supporting the evaluation and structuring of potential acquisitions. This individual will lead financial modeling, valuation analysis, and key deal structuring considerations to inform investment decisions.
This role is ideal for someone with strong financial acumen, an understanding of professional services transactions, and a desire to play a critical role in shaping deal strategy from the earliest stages.
Responsibilities
Financial Modeling & Analysis (Primary Focus)
- Develop and maintain robust financial models to evaluate acquisition targets, including revenue, profitability, and cash flow projections
- Analyze historical financial performance and normalize earnings to assess true economic value
- Build pro forma models incorporating synergies, integration assumptions, and downside scenarios
- Perform detailed valuation analyses using multiple methodologies (e.g., DCF, comparable transactions, precedent deals)
- Identify key financial risks, sensitivities, and value drivers to support investment decision-making
Deal Structuring & Pre-LOI Support
- Support structuring of transactions, including consideration of asset vs. stock purchases, earnouts, and deferred payments
- Evaluate the financial impact of various deal structures, including tax considerations and working capital implications
- Collaborate with internal stakeholders and external advisors to refine deal terms and optimize outcomes
- Assist in drafting and refining LOI financial terms, including purchase price, adjustments, and contingent consideration
- Provide analytical insight into negotiation strategy based on financial findings
Diligence Support & Strategic Insights
- Partner with deal teams to identify key diligence priorities based on financial analysis
- Assess quality of earnings, customer concentration, backlog, and margin sustainability
- Support development of investment memos and presentations for internal stakeholders, including executive leadership and investment committees
- Contribute to pipeline tracking and prioritization based on financial attractiveness and strategic fit
Qualifications
Experience
- 4–6+ years of experience in investment banking, private equity, corporate development, or transaction advisory
- Strong experience in financial modeling, valuation, and transaction analysis
- Exposure to professional services or engineering firm M&A is a plus
